Greetings to All Blockchain Enthusiasts!

My name is Stephen Reed and I've been dabbling in blockchain for several years now. What began as a mild curiosity in new technology, grew into a passion that led me here today. Myself and a rockstar team from across the world and across disciplines have come together to envision a useful, simple Dapp that solves a very necessary problem - connecting Organizations built on Blockchain, to real-world registrations and applications.

Overview

The Technology Collection is envisioned as a Distributed Autonomous Organization built on the AragonOS and EVM. The current environment finds most non-incorporated blockchains unable to utilize traditional financial or legal institutions or to enter litigation to defend itself if necessary. Nearly finalized legislation in Malta, an open-border EU member state, will soon allow DAOs and other innovative technologies to achieve their own legal personality without incorporating.

Concept/Philosophy

An open-source, permission-less, Ethereum-based Smart Contract providing simple DAOs with a logical, step-by-step chain of prompts and requests for information relevant and necessary to submit an application to achieve a new legal personality, right to exist, and even defend itself in litigation if necessary. This Dapp will both store a digital record of the Innovative Technology Application's purpose, team, etc. as required by law and allow the user to print an application to the Malta Digital Innovation Authority, the only jurisdictional authority in the EU currently accepting these types of applications to be a non-incorporated, non-foundation, digital code-based legal entity. This does not involve setting up a foundation and does not require significant capital to apply.

Next Steps

Developing the front-end and back-end elements necessary to create and submit an application to the Malta Digital Innovation Authority. This common sense Dapp will prove useful, both as a way to register with the MDIA, but may also serve as a modularly built production of Q&A type Applications.

Hey @YalorMewn thanks for establishing this opportunity. I'm JT acting CEO of the TechCollect Organization. The concept is just an expansion of our own pursuit of achieving legal personality without establishing a company, or a foundation. I personally traveled to Malta when I heard about their new proposed legal personality for digital code. We were excited to find out that they have a pretty fair and easy registration process for non-profit seeking, non-ico based tokens (Giveth, TechCollect). They also propose a good mechanism for those who are seeking profits to register, they just need to spend a little extra on legal and auditing (which isn't unreasonable if you are about to generate 50,000,000 Euro in an ICO). @sohkai we love Aragon, nest is where we got the idea for this, as something our organization could offer to the community...and a member of the Aragon community frontline recommended this blockternship program for us! We do have a nest application referencing number 48 for you to review, it was only submitted recently, and I don’t think it’s been through the process yet! Obviously if we are awarded any grant funding here, we will subtract that amount from our request there to keep everything fair

Direct from our Lawyer in Malta -

The newly designed foundation will allow the concept of an "innovative technology arrangement" having its own "legal personality", right to exist, and to conduct business, enter litigation to defend itself etc. at which point the arrangement will be wrapped in a legal form which gives the arrangement personality. It’s cells will take in functionalities like governance, compliance, liability etc if so designed.

This is a challenge but our intent is to draft optional aspects into the law giving as much flexibility as possible and at the same time allowing Soave for technology to substitute for traditional legal requirements you will find in existing Maltese law on foundations - as you would in Swiss law as well.

This is where I will Need your and your friends in the DAO world to help to identify where legal requirements can be substituted or be met by technology already in place and those will cannot be and never will or maybe in the long run.

For example we need a written instrument today signed before a notary

We already know we can drop the notary and the signatures by we don’t think we can drop the founder etc.


This is a direct call to action from the folks who are working on the law for us to respond appropriately.

This is a chart issued by the EU/Maltese authority showing how a simple virtual token can apply for this legal right to exist just so they can make their lives easier, maybe have a bank account. There is also a procedure for other tokens which are set up like assets, investments and corporations to register. We wanted to build an application to help others makes sense of these laws and navigate their standing in this exciting new legal structure for blockchains and we are excited to host the application right on the ethereum network alongside the people it will help most. https://imgur.com/a/6ITmOYv

Basics: The name of the authority who’s process we will be using to apply for this new legal personality is the MDIA, it is a division of the MFSA. (Malta digital innovation authority, and Malta financial services authority)

The process is difficult to navigate, but it’s actually fairly simple if you are compliant, our goal is to help DAOs be compliant, as few people will read 150 pages of legislation to ensure they are compliant.

The authority has released guidelines for something called a virtual token to be exempt from almost all of the regulations governing other types of tokens which are deemed to be “virtual financial assets”, this is a classification that should only be pursued if the entity is set up like a business and is seeking profits.

We will include help for those folks in our template as well, but the focus here is to help people understand how their DAOs have to be structured, how their white paper has to be written, and what the minimum rules they have to follow to gain this new digital legal personality.

The way we plan on utilizing the blockternship program to accomplish this is by issuing bounties to create the template for an “if this then that” style questionnaire template. Depending on your answers to certain questions, it will help you determine which rules you would have to follow, or could even guide people to make some decisions slightly differently to help them become compliant if their concept is close but not quite there.

Conducted simultaneously with the bounties and the infrastructure building, we will better process our in-house compliance content, guidelines, and information to plug into that template. The final product will prepare organizations with a series of prompts by asking them if they intend to do certain things, have certain things in their white paper, or have certain things in their code and help them understand the implications of those decisions.
