Finalize and adopt Bylaws for the ProgCode non-profit entity

Description

ProgCode must finalize the draft bylaws, which have been the subject of community discussion.

Problem

The draft bylaws discussed and revised by the community over the prior months must be finalized for submission to the IRS, for eventual adoption by the Michigan non-profit entity Progressive Coders Network.

Benefit

Bylaws are required to establish the legal structure required by state and federal law, as well as to set forth the most basic of policies for fulfilling the goals and mission of the ProgCode community. Moreover, adopting and ratifying the bylaws will fulfill the first goal set forth in Issue #209 - Establish ProgCode as non-profit entity and sustainability plan.

Plan

• Publish the revised draft bylaws which incorporate the concepts and suggestions of the community in the #wg-bylaws channel and notify the community in the #team-announcements and #operations channels of the ProgCode Slack.
• Schedule this issue for a community vote, seeking permission to proceed to finalize the bylaws and to submit them to the IRS for review and approval.
• Upon receiving consent to proceed, submit the bylaws and Form 1024 to the IRS for review and consideration.
• In the event that the IRS requires or recommends any revisions to the bylaws, notify the community of the same, and repeat the first three steps.
• Upon completion of the foregoing steps, seek community consent to adopt the bylaws.

Decision Making

• The final draft of the bylaws will be published in the #wg-bylaws channel by Friday, 08-11-17.
• A vote on consent to proceed will take place during the next Operations Meeting on Monday, 08-14-17, at 8:00AM EST.
• Notice of both the publication of the bylaws and the Operations Meeting shall be posted in the #team-announcements channel.
