We have the below inquiry from a client who has incorporated a benefit company in February of this year and meant to register a sole proprietorship instead. The company has been in existence too long to process any kind of administrative dissolution and refund. However, the voluntary dissolution the company must now file is not available on the benefit company BC business registry website. How should we move forward to facilitate the voluntary dissolution?

I just got off the phone with a representative from the corporation unit. They recommend I email this email to explain my situation and receive information on next steps.

I recently registered my small business in preparation for my application for the bc small business grant. While doing the application my account noticed an issue with my name. This was his email to me:

"I was reviewing the recovery plan you have been working on with Jenny and noticed that your registered name is “Tyla Petersen, Registered Massage Therapy Ltd.” which is an issue because as a sole proprietor, your business name cannot use “Ltd.”. We checked your entry on OrgBookhttps://www.orgbook.gov.bc.ca/en/organization/registration.registries.ca/BC1289777 and found that you have registered as a benefit company, which is a kind of incorporate charitable company. This company will have to be closed so you are not having to incur the cost of filing for corporate tax returns or annual reports.”

My intension was not to open a benefit company but to open a sole proprietorship. My incorporation number is 1289777 and the name is the registered company is “Tyla Petersen Registered Massage Therapy LTD”. My business number assigned to this corporation is 77966 1263 BC0001

I currently have a 2 week extension on my grant application until April 21, 21.

I will starting my new application for the sole proprietor business name registration today. The representative on the phone suggested I get this started as im on a time frame to have this change addressed.

I appreciate your swift attention to this matter and hope to resolve this soon. Please let me know next steps in closing this benefit company so I may proceed with my grant application and the correct name registered. I also paid a fee of $350 to open the benefit company. I understand this way a mistake on my behalf but im hoping this money maybe refunded or put toward other fees? Please let me know if there may be any solution for this.

@thorwolpert this is a benefit company dissolution that needs to be filed before April 21st. Do you think Steven Chen could get started building the jupyter notebook while we wait for the info from the client? I believe we need to update our postgres tables to include new info.

Attached is the application for voluntary dissolution for the above benefit company as well as the routing slip 206354771 in the amount of $20.00 for payment. Can you please add this to the zenhub ticket already opened by Amber #7119?

@lmcclung we got the form and payment from the client. I will tell kat to send a stamped copy to the client if she has not already, and then we can proceed with the dissolution?

Kat told me that we should wait until it is actually made historical, before we send the stamped output. I Reordered the steps.

@thorwolpert I like that it's available on paper only.

Can you unaffiliate it? I thought we were going to remove the affiliation so that they can't accidentally file an alteration, COD, COA, AR while we're waiting to build the historical status feature.

Why have the directors disappeared from the dashboard?

@rarmitag Please check why the dissolution isn't carrying forward to SOFI.

This is one of 40 filings that are not carrying over back to Oracle for various reasons. Ticket #684 solutions will cover this and most COLIN issues.

This ticket is outdated. Voluntary dissolution for BEN is in production with no reported problems (The total number of BEN voluntary dissolutions is 80, the first voluntary dissolution for BEN was on 2021-08-11). Also comprehensive testing has been conducted in Oct 2024 with the purpose of determining status for the directed launch, and no significant issues were observed. Closing this ticket
