Description

Co-op had filed a Director Change on January 29, 2021 with an effective date of October 2, 2020.

However, the co-op had not filed their 2018 Annual Report yet and cannot file a change of directors as there is message on the 2018 AGM date field “You cannot change your Directors in this Annual Report because your AGM predates another filing that may have conflicting changes.”. The change of directors functions (add / ceased) were also grayed out.

Can a correction be submitted to reverse the January 29, 2021 filing so that the last effective date would be April 12, 2017 and the reinstated the ceased directors and remove the new directors to reverse back to the original list of directors.

Or should the client file an incorrect annual report list of directors and then have the output documents data fixed to reflect the correct list for each effective date.

@Sienna-Blumstengel @lmcclung this ops question is regarding business process for out of order filings. Julie was cc'd on Mark's request to our team. Can you confirm the process to address the out of order filings?

@Sienna-Blumstengel @lmcclung can you please look at the comment above? In the correction the only option is to add a comment. We could advise Mark to use this but the client would still encounter the issue where they would be unable to change directors in the 2018 without some sort of data fix. How are out of order filings being handled?

Questions to ask Staff: 1) how do they currently handle these scenarios with Societies? Did it work well or were there issues? 2) how did they handle them when everything was done on the mainframe? 3) is technically a correction? Or would we have them file the AR with no COD and then submit a Correction form for the missed director information and then we make the relevant updates (if any) and add the detail? 4) Is there some sort of validation we should put in place on the change of director form to reduce the chance of this happening? For example, if last AR was 2018 and it is 2021 we don't let them pick a date that was after the 2019 AR was due (April 2020)? This wouldn't catch anything. Or maybe we just don't let them file a change of directors unless they are no outstanding ARs from previous years (current year would be okay; but this might be too restrictive because maybe they need to do a COD for May 2019 and AGM isn't until Sept 2019)?
