I don't even see an Icon. The app opens and does nothing and shows nothing.

Look at the top-right of menu bar, not the dock. You'll see the icon. This is
not a
defect, please close.

clicking on preferences on the proximity menubar icon does nothing. using osx
10.6.2.
interestingly enough quit works. so your app is 50% functional.

tried to fix the problem by deleting the preferences created by the app. not
sure if this
fixed it, but i did notice preferences pane for the app only appears on space 1
if you're
using spaces.

After lauching Proximity, an icon appears on the menu bar. For some kind of
reason, the preferences just won't
show up!!! The operating system that I'm using is Mac OS X 10.6.3 using
Proximity 1.5

The problem is that the preference window appears under all the other windows;
if you open it closing/hiding all the other windows, it appears normally.
